This Agreement

This Agreement is between you (hereinafter referred to as "You" or "Your") and Outbooks Tech, governing your use of the Outbooks Proposal Tool (hereinafter referred to as the "Service" or "Services"). By accessing or using the Services, you agree to be bound by these terms and conditions. If you do not agree with these terms, you’re requested to not use the Services.

Description of Service

Outbooks Tech provides a proposal & pricing tool designed to help businesses/bookkeepers/accountants manage and streamline their proposal processes. The Service is provided "as-is" and "as-available," and Outbooks does not guarantee the accuracy, reliability, or availability of the Service. You are responsible for obtaining the necessary equipment and internet access to use the Services.

Terms of Usage

  1. User Responsibilities
    • You agree to use the Services solely for lawful purposes and in accordance with these Terms.
    • You are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account.
    • You are prohibited from transmitting any unlawful, defamatory, obscene, or otherwise objectionable material via the Services.
  2. Prohibited Actions
    • Unauthorized Access: You shall not attempt to gain unauthorized access to any portion or feature of the Services, or any other systems or networks connected to the Services.
    • Abuse of Services: You shall not misuse the Services by knowingly introducing viruses, trojans, worms, or other material that is malicious or technologically harmful.
    • User Sign-Up Obligations: You must provide accurate, current, and complete information when signing up for the Services. If Outbooks suspects that the information provided is untrue, inaccurate, outdated, or incomplete, it may suspend or terminate your account.
  3. Third-Party Services
    • No part of the agreement shall confer right on any third parties and accordingly the Contracts (Rights of third Parties) Act 1999 shall not apply to this agreement.
  4. Compliance
    • You agree to comply with all applicable local, state, national, and international laws and regulations in using the Services. Outbooks reserves the right to investigate complaints or reported violations of these Terms and to take any action deemed appropriate.
  5. Indemnification
    • You agree to indemnify and hold Outbooks Tech, its affiliates, officers, directors, and employees harmless from any claims, damages, losses, and expenses, including legal fees, arising out of your use of the Services or violation of this Agreement.

Termination

  1. Termination by You
    • You may terminate this Agreement at any time by discontinuing the use of the Services and notifying Outbooks Tech in writing of your intention to terminate. Upon termination, you must cease all use of the Services and delete any associated data.
  2. Termination by Outbooks Tech
    • Outbooks Tech reserves the right to terminate or suspend your access to the Services immediately, without prior notice, if you breach any of the Terms, engage in unlawful activities, or if Outbooks Tech determines, at its sole discretion, that your use of the Services is harmful to its interests or the interests of others.
    • Outbooks Tech may also terminate the Agreement for any reason, including but not limited to extended periods of inactivity, failure to pay fees when due, or discontinuation of the Services.
  3. Effects of Termination
    • Upon termination of your account, your right to use the Services will immediately cease. All data associated with your account will be deleted and cannot be recovered.
    • Outbooks Tech shall not be liable to you or any third party for any termination of your account, any associated email address, or access to the Services.
  4. Free Trial
    • If you register for a free trial, Outbooks Tech will make the applicable Services available to you on a trial basis. Outbooks Tech may terminate the trial at its discretion and is not responsible for any data loss or other consequences resulting from the termination of the trial. All Services provided during the trial are on an "as-is" basis without warranty.

Fees and Payments

The Services are offered under various subscription plans. Payments for subscriptions must be made by debit card, credit card, Apple Pay, Google Pay and ACH . Subscriptions will be automatically renewed unless you opt-out before the renewal date.

If you fail to pay the Service Provider any sum due under this agreement on the due date: You shall pay interest on the overdue sum from the due date until payment of the overdue sum, whether before or after judgment. Interest under this clause will accrue each day at 4% a year above the Bank of England's base rate from time to time, but at 4% a year for any period when that base rate is below 0%.

Outbooks Tech may change the pricing of the Services and will notify you in advance of any price changes.

Intellectual Property Rights

  1. Ownership of IP: Clearly state that Outbooks Tech retains all intellectual property rights (IPR) to the materials and services it provides. You are granted a limited, non-exclusive license to use these materials strictly for the purposes outlined in the agreement.
  2. Termination and IP Rights: Upon termination, you must cease using Outbooks Tech IP, and any licenses granted under the agreement will be revoked.

Customer’s Obligations

  1. Information Provision: You must provide all necessary information to Outbooks Tech to facilitate the delivery of services and deliverables.
  2. Timely Decisions: You’re responsible for providing decisions, approvals, and communications promptly to avoid delays.
  3. Third-Party Permissions: You must obtain any necessary third-party consents, licenses, or permissions before services commence.
  4. Delay Responsibility: Delays caused by your failure to comply with obligations do not constitute Outbooks Tech fault.

Limitation of Liability

To the maximum extent permitted by law, Outbooks Tech shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of your use of the Services. This includes, but is not limited to, loss of data, loss of revenue, loss of profits, claims from other third parties, expenses arising from other supplies, government or any other entity or business interruption.

Governing Law and Jurisdiction

This Agreement shall be governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts in England and Wales.

Modification of Terms

Outbooks Tech may modify this Agreement at any time, with notice provided to you via email or through the Services. Continued use of the Services after such modifications constitutes your acceptance of the modified terms.
